1. Definitions

• "Administrator": User with rights to manage subscriptions and add other users
• "BetterEnrich", "we", "us", "our": BetterEnrich LLC, the provider of the Services
• "Client", "you", "your": The individual or entity using our Services
• "Credits": Units of account used to perform enrichment operations
• "Data Controller": Entity determining the purposes and means of processing personal data
• "Data Processor": Entity processing personal data on behalf of the controller
• "Enriched Data": Client data enhanced with additional information from our providers
• "Services": All features and functionalities provided through BetterEnrich
• "Subscription": Your chosen service plan (monthly, annual, or pay-as-you-go)
• "User": Individual authorized to access the Services under your Account
• "Workspace": Your organization's environment containing users and data

2. Agreement Acceptance

By creating an account, accessing, or using BetterEnrich, you agree to be bound by these Terms. If you're using our Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Service Description

BetterEnrich provides a comprehensive data enrichment platform that enables you to:

• Find and verify email addresses and phone numbers
• Enrich contact and company information
• Access data through our web application, API, and browser extension
• Export enriched data in various formats
• Integrate with third-party tools and platforms

We aggregate data from multiple providers to deliver the most accurate and comprehensive results. We do not maintain our own contact database but facilitate access to our network of data providers.

4. Account Registration

Creating Your Account

• You must provide accurate, complete, and current information
• You're responsible for maintaining the confidentiality of your login credentials
• You must notify us immediately of any unauthorized access
• You're responsible for all activities under your account

User Management

• Administrators can add, remove, and manage users
• Each user must have their own unique account
• Sharing accounts is prohibited
• You're responsible for your users' compliance with these Terms

5. Subscriptions and Billing

Subscription Types

Monthly Subscription

• Automatically renews each month
• Credits valid for 3 months from issuance
• Can be modified or cancelled anytime
• Changes take effect immediately

Annual Subscription

• Automatically renews each year
• Credits valid for 12 months from issuance
• Significant discount compared to monthly pricing
• Modifications take effect at next renewal

Pay-As-You-Go

• One-time credit purchases
• Credits valid for 6 months from purchase
• No automatic renewal
• Ideal for occasional users

Pricing and Payment

• All prices are in USD unless otherwise specified
• Prices exclude applicable taxes
• Payment is due upon subscription or renewal
• We accept major credit cards via Stripe
• Failed payments may result in service suspension

Refunds

• Monthly subscriptions: No refunds for partial months
• Annual subscriptions: Pro-rated refunds at our discretion
• Pay-as-you-go: No refunds for unused credits
• Refunds for service issues evaluated case-by-case

6. Acceptable Use

You agree to:

• Use the Services only for lawful business purposes
• Comply with all applicable laws and regulations
• Respect intellectual property rights
• Maintain appropriate security measures
• Use enriched data responsibly and ethically

You agree NOT to:

• Resell, redistribute, or sublicense the Services or data
• Use the Services for spam, harassment, or illegal activities
• Attempt to reverse engineer or hack our systems
• Exceed rate limits or abuse our API
• Scrape, crawl, or systematically download data
• Use the Services to build a competing product
• Share enriched data with third parties (except for internal business use)
• Violate any third-party rights or privacy
• Use automated means to create multiple accounts
• Misrepresent your identity or affiliation

7. Data Rights and Responsibilities

Your Responsibilities

• Ensure you have the right to process the data you submit
• Comply with applicable data protection laws
• Obtain necessary consents for data processing
• Inform data subjects as required by law
• Implement appropriate security measures

Our Rights

• Process your data to provide the Services
• Aggregate and anonymize data for analytics
• Share data with our providers as necessary
• Retain data as specified in our Privacy Policy
• Monitor usage for security and compliance

Data Quality

• We strive for accuracy but cannot guarantee 100% accuracy
• Data quality depends on our providers and your input
• You're responsible for verifying critical information
• We're not liable for decisions based on our data

8. Intellectual Property

Our Property

All aspects of the Services, including but not limited to:

• Software code and architecture
• User interface and design
• Logos, trademarks, and branding
• Documentation and content
• Proprietary algorithms and methods

These remain our exclusive property. These Terms grant you only a limited right to use the Services.

Your Property

You retain all rights to:

• Data you submit for enrichment
• Your company information and branding
• Any content you create using our Services

License Grant

You grant us a limited license to:

• Process your data to provide the Services
• Display your company name as a customer (with permission)
• Use anonymized data for service improvement

9. API Usage

Rate Limits

• Respect all published rate limits
• Implement appropriate throttling
• Cache responses when appropriate
• Contact us for higher limits

Best Practices

• Use API keys securely
• Follow our API documentation
• Handle errors gracefully
• Keep your integration updated

Restrictions

• Don't share API keys
• Don't circumvent rate limits
• Don't use the API for unauthorized purposes
• Don't overload our systems

10. Third-Party Integrations

Supported Integrations

We integrate with various third-party services. When using integrations:

• You authorize data exchange between platforms
• Third-party terms of service apply
• We're not responsible for third-party actions
• You can disconnect integrations anytime

Your Responsibilities

• Ensure you have rights to connected accounts
• Comply with third-party terms

11. Service Level and Support

Availability

• We target 99.9% uptime
• Scheduled maintenance communicated in advance
• No guarantee of uninterrupted service
• Best effort support during business hours

Support

• Email support for all customers
• Priority support for enterprise plans
• Documentation and knowledge base
• Community forum (if applicable)

Limitations

• No warranty of specific results
• No guarantee of data availability
• Service provided "as is"
• Support subject to reasonable limits

12. Confidentiality

Both parties agree to:

• Keep confidential information secret
• Use it only for intended purposes
• Protect it with reasonable care
• Not disclose without permission

This excludes information that:

• Was already public
• Was independently developed
• Was rightfully received from third parties
• Must be disclosed by law

13. Indemnification

You agree to indemnify and hold us harmless from any claims arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of others
• Your data processing activities
• Your users' actions

14. Limitation of Liability

Disclaimer

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We're not liable for indirect, incidental, or consequential damages
• Our total liability is limited to fees paid in the last 12 months
• We're not responsible for third-party actions
• We're not liable for data loss or corruption

Exceptions

These limitations don't apply to:

• Gross negligence or willful misconduct
• Death or personal injury
• Violations of applicable law
• Indemnification obligations

15. Termination

By You

• Cancel subscription anytime through your account
• Request account deletion via email
• Export your data before termination
• Unused credits are non-refundable

By Us

We may terminate for:

• Violation of these Terms
• Non-payment
• Illegal or harmful use
• Extended inactivity
• Business reasons with notice

Effects

Upon termination:

• Access to Services ends immediately
• Your data deleted per our retention policy
• Unused credits forfeited
• Certain provisions survive (confidentiality, liability, etc.)

16. Changes to Terms

We may modify these Terms by:

• Posting updated Terms on our website
• Notifying you via email or in-app
• Providing reasonable advance notice
• Allowing you to terminate if you disagree

Continued use after changes constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of Arizona, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Maricopa County, Arizona.

18. Miscellaneous

Entire Agreement

These Terms, along with our Privacy Policy and DPA, constitute the entire agreement between us.

Severability

If any provision is unenforceable, the remainder continues in effect.

Assignment

You cannot assign these Terms without our consent. We may assign freely.

Waiver

No waiver is effective unless in writing and signed.

Force Majeure

Neither party is liable for delays due to circumstances beyond reasonable control.
